I have to second Chuck's recommendation of Monterey.
I dive north of San Francisco and there are no charters here at all. It's tough shore diving and a lot of times it's rough and the visibility can be bad.
In Monterey you will have your pick of many dive charters and also the best topside attractions probably in the whole state.

As for Napa the town is great. Check out the newly revamped historic old downtown. Also if you have time drive up the Silverado Trail and do some wine tasting. You can also check out the larger wineries on the west side of the valley along hwy 29, but they are the much more touristy variety. Also go to St. Helena and try to get up to Calistoga and go for a hot mineral bath at one of the spas.
Calistoga is very quaint with lot's of good restaurants and shops.
